1. Definitions

The following terms apply throughout these Terms and Conditions:

• "Vault" refers to Vault Financial Technologies Pvt. Ltd.
• "Platform" encompasses the web application, mobile application, APIs, and all related services operated by Vault.
• "User" means any individual or entity accessing or using the Platform.
• "Content" includes all information, data, text, graphics, and materials made available through the Platform.

2. Eligibility

To access or use the Platform, you must be at least 18 years of age and a resident of India or a jurisdiction in which Vault operates. By using the Platform, you represent and warrant that you meet these eligibility requirements and have the full legal capacity to enter into a binding agreement.

3. Nature of Services

3.1 Informational and Advisory Tool

Vault is an AI-powered financial information and planning platform. All content, analysis, suggestions, and insights provided through the Platform are intended solely for informational and educational purposes.

3.2 Not Regulated Investment Advice

Vault does not hold a licence as a SEBI-registered Investment Adviser (IA) or Portfolio Manager (PMS). Nothing on the Platform constitutes personalised investment advice, a solicitation to buy or sell any securities, or a guarantee of returns. You should consult a licensed financial professional before making any investment decisions.

3.3 No Fiduciary Relationship

Your use of the Platform does not create a fiduciary, advisory, broker-client, or any other professional relationship between you and Vault.

4. Account Registration

When creating an account on the Platform, you agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account information to keep it accurate and complete.
• Keep your login credentials confidential and not share them with any third party.
• Notify Vault immediately at info@getvault.in of any unauthorised use of your account.
• Accept full responsibility for all activities that occur under your account.

Vault reserves the right to suspend or terminate any account where information is found to be inaccurate, misleading, or in violation of these Terms.

5. Acceptable Use

You agree not to use the Platform to:

• Engage in any unlawful purpose or in violation of any applicable regulations.
• Upload or transmit malicious code, viruses, or any software intended to damage or interfere with the Platform.
• Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Platform.
• Scrape, crawl, or systematically extract data from the Platform without prior written consent from Vault.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
• Interfere with or disrupt the integrity, security, or performance of the Platform.
• Transmit unsolicited commercial communications or spam.

6. Third-Party Data and Integrations

The Platform integrates with third-party financial institutions, data providers, and account aggregators. Vault does not warrant the accuracy, completeness, or timeliness of any data sourced from these third parties and is not responsible for errors or omissions in such data.

By connecting your financial accounts to the Platform, you authorise Vault to access, retrieve, and store your financial data solely for the purpose of providing the services described herein.

7. Intellectual Property

All content, features, and functionality of the Platform — including but not limited to text, graphics, logos, icons, images, audio, software, and code — are the exclusive property of Vault Financial Technologies Pvt. Ltd. or its licensors and are protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for your personal, non-commercial purposes only. Any reproduction, distribution, modification, creation of derivative works, public display, or commercial exploitation of Platform content requires the prior written consent of Vault.

8. User-Generated Content

By submitting, posting, or otherwise making available any content through the Platform, you grant Vault a worldwide, royalty-free, non-exclusive, perpetual licence to use, reproduce, modify, adapt, publish, translate, and distribute such content in connection with operating and improving the Platform.

You represent and warrant that you own or have the necessary rights, licences, and permissions to grant this licence, and that your content does not infringe the intellectual property or other rights of any third party.

9. Privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy explains how we collect, use, store, and protect your personal information. Please review it carefully.

10. Fees and Payments

Certain features of the Platform are available on a subscription or fee basis. All fees are stated in Indian Rupees (INR) and exclude applicable taxes unless expressly stated otherwise. Fees are non-refundable except as required by applicable law.

Vault reserves the right to change its pricing at any time, with reasonable advance notice provided to active subscribers.

11. Disclaimer of Warranties

The Platform is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

Vault does not warrant that the Platform will operate uninterrupted, error-free, or securely, or that any information provided will be accurate or complete. Your reliance on any information or content obtained through the Platform is entirely at your own risk.

12. Limitation of Liability

To the fullest extent permitted by applicable law, Vault and its directors, officers, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, goodwill, or other intangible losses — arising out of or in connection with your use of, or inability to use, the Platform.

Vault's total cumulative liability to you for any claims arising under or related to these Terms shall not exceed the amounts you have paid to Vault in the twelve (12) months immediately preceding the event giving rise to the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless Vault and its affiliates, directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the Platform; (b) your violation of these Terms; or (c) your infringement of any third-party rights, including intellectual property and privacy rights.

14. Termination

Vault may suspend or terminate your access to the Platform at any time, with or without cause and with or without notice, at its sole discretion. Upon termination, your right to use the Platform ceases immediately. All provisions of these Terms that by their nature should survive termination — including ownership provisions, warranty disclaimers, indemnity, and limitations of liability — shall continue to apply.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts located in Mumbai, Maharashtra.

16. Changes to These Terms

Vault reserves the right to modify these Terms at any time. When we make material changes, we will post the updated Terms on the Platform and update the "Last updated" date. Your continued use of the Platform after any such changes constitutes your acceptance of the revised Terms.

17. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable for any reason, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms shall remain in full force and effect.

18. Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices published by Vault on the Platform, constitute the entire agreement between you and Vault regarding your use of the Platform and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.
