Terms and Conditions

1. Definitions

In these Terms and Conditions:

• "Vault", "we", "us", or "our" refers to Vault Financial Technologies Pvt. Ltd., the company operating the Vault platform.
• "Platform" refers to the Vault web application, mobile application, APIs, and any related services we provide.
• "User", "you", or "your" refers to any individual or entity that accesses or uses the Platform.
• "Content" means all information, data, text, software, music, sound, photographs, graphics, video, messages, or other materials made available through the Platform.

2. Eligibility

You must be at least 18 years of age and a resident of India (or such other jurisdiction where Vault is permitted to operate) to use the Platform. By using the Platform, you represent and warrant that you meet these eligibility requirements and have the legal capacity to enter into a binding agreement.

3. Nature of Services

3.1 Informational and Advisory Tool

Vault is an AI-powered financial information and planning platform. All content, analysis, suggestions, and insights provided by the Platform—including portfolio analytics, goal projections, rebalancing recommendations, and AI-generated responses—are intended for informational and educational purposes only.

3.2 Not Regulated Investment Advice

Vault does not hold a licence as a SEBI-registered Investment Adviser (IA) or Portfolio Manager (PMS). Nothing on the Platform constitutes personalised investment advice, a solicitation to buy or sell any security, or a guarantee of investment returns. You should consult a qualified financial adviser, chartered accountant, or other licensed professional before making any investment decision.

3.3 No Fiduciary Relationship

Your use of the Platform does not create a fiduciary, advisory, or broker-client relationship between you and Vault.

4. Account Registration

To access certain features of the Platform, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account information.
• Keep your login credentials confidential and not share them with any third party.
• Notify us immediately at info@getvault.in of any unauthorised use of your account.
• Accept responsibility for all activities that occur under your account.

Vault reserves the right to suspend or terminate your account if any information you provide is found to be inaccurate, false, or misleading.

5. Acceptable Use

You agree not to:

• Use the Platform for any unlawful purpose or in violation of applicable laws and regulations.
• Upload, transmit, or distribute malicious code, viruses, or any software intended to damage or interfere with the Platform.
• Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying algorithms of the Platform.
• Scrape, crawl, or systematically extract data from the Platform without our prior written consent.
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.
• Interfere with or disrupt the integrity, security, or performance of the Platform or related systems.
• Use the Platform to transmit unsolicited or spam communications.

6. Third-Party Data and Integrations

Vault may integrate with third-party financial institutions, brokers, data providers, and APIs to fetch and display your financial data. We do not warrant the accuracy, completeness, or timeliness of data received from third parties. We are not responsible for any errors or omissions in third-party data or for any actions you take in reliance on such data.

By connecting your accounts, you authorise Vault to access, retrieve, and store financial data on your behalf for the purpose of providing the Platform services.

7. Intellectual Property

All content, features, and functionality of the Platform—including but not limited to software, text, graphics, logos, icons, images, audio clips, and data compilations—are the exclusive property of Vault or its licensors and are protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for your personal, non-commercial purposes. You must not reproduce, distribute, modify, create derivative works of, publicly display, or commercially exploit any part of the Platform without our prior written consent.

8. User-Generated Content

If you submit, post, or transmit any content to the Platform (including feedback, suggestions, or comments), you grant Vault a worldwide, royalty-free, non-exclusive, perpetual licence to use, reproduce, modify, adapt, publish, translate, and distribute such content in any media. You represent that you own or have the necessary rights to grant this licence.

9. Privacy

Your privacy matters to us. Please review our Privacy Policy, which is incorporated by reference into these Terms and explains how we collect, use, and protect your personal information.

10. Fees and Payments

Certain features of the Platform may be offered on a subscription or fee-basis. All fees are stated in Indian Rupees (INR) and are exclusive of applicable taxes unless otherwise stated. Fees are non-refundable except as required by law or as expressly provided in our refund policy. We reserve the right to change our pricing at any time with reasonable advance notice.

11. Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. VAULT DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

WE DO NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR USEFULNESS OF ANY INFORMATION PROVIDED ON THE PLATFORM, AND YOU RELY ON SUCH INFORMATION ENTIRELY AT YOUR OWN RISK.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VAULT, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR ANY OTHER PECUNIARY LOSS, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, EVEN IF VAULT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL VAULT'S TOTAL CUMULATIVE LIABILITY TO YOU EXCEED THE AMOUNT PAID BY YOU TO VAULT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless Vault and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the Platform; (b) your violation of these Terms; or (c) your violation of any third-party rights, including intellectual property or privacy rights.

14. Termination

Vault reserves the right to suspend or terminate your access to the Platform at any time, with or without cause and with or without notice, at our sole discretion. Upon termination, your right to use the Platform will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any dispute, controversy, or claim arising out of or relating to these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts located in Mumbai, Maharashtra, India.

16. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the revised Terms on the Platform and updating the "Last Updated" date. Your continued use of the Platform after any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Platform.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions of these Terms remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the Platform, constitute the entire agreement between you and Vault regarding your use of the Platform and supersede all prior and contemporaneous agreements, representations, and understandings.
